Registration Procedure of A Public Limited Company Public Limited Company also has to follow a similar procedure as in the case of a private limited company for registering itself. In addition to the procedure followed by a Private Limited Company, a person registering a public company has to obtain a Certificate of Commencement of Business before he can commence the business. This certificate can be obtained after obtaining the certificate of incorporation. An entrepreneur has to do the following for obtaining the certificate of commencement: File a declaration of compliance with the provisions of Section 149(2)(b) of the Act in eForm 20 and attach the statement in lieu of the prospectus(schedule III) OR File a declaration of compliance with the provisions of Section 149 (1)(a),(b),(c) of the Act in eForm 19 and attach the prospectus (Schedule II) to it.
